Ramsey Design Terms and Conditions

Web Design

1. We reserve the right to refuse a project which we may judge as unfit due to content or otherwise. This includes, but is not limited to, sites containing adult oriented material such as pornography, sites which promote hatred towards persons belonging to any ethnic group, political, religion or sexual orientation and sites which infringe copyright or are contrary to US laws. Sites which push the boundaries of good taste.

2. The acceptance of a commission shall be deemed as a contractual agreement between the client and Ramsey Design. Acknowledgement that the client has read and understands the Terms and Conditions of a Ramsey Design Web Design will stand in leiu of a written contract. A verbal agreement must be accompanied by the acknowledgement that our Terms and Conditions has been read and understood, before commission commences. A written contract is available at the clients request.

3. Ramsey Design reserves the right, and you hereby agree, to assign subcontractors when necessary for the Web Design Project to ensure that the terms of this agreement are met as well as on-time completions. This also includes the use of templates and plugins.

4. Ramsey Design cannot always guarantee to start work immediately on a commission but will arrange a date with the client as to when work can commence.

5. This agreement allows for minor web site maintenance to pages of your web project, including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guestbooks, discussion webs, navigation structure changes, repairs of attempted updates by Client. This service is available from the date the Client’s web site is available to be published to Client’s hosting service. Major code and/or graphic changes and additions will be charged at the hourly rates.

6. Ramsey Design and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later that 30 days(unless otherwise discussed in advance based on website size) after the client has submitted the necessary materials. If the client does not supply Ramsey Design with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire deposit shall be retained by Ramsey Design as damages and the contract shall become null and void, at Ramsey Design’s option, unless the Web Design Project is canceled in writing by the Client prior to the 45 days of the effective date of the agreement.

7. All material, both text and images, supplied by the client and used in the construction of the client’s web site, will remain the client’s property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.

8. The copyright for all material provided by Ramsey Design, such as HTML code, graphics, photographs and text, will remain the property of Ramsey Design until such time as payment has been made in full whereupon they will become the property of the client.

9. Ramsey Design makes every effort to design pages which display acceptably in the most popular current browsers, but cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after pages have been designed.

10. If at any point during the Web Project Development Cycle a client wishes to cancel, they may do so but will be invoiced an amount that Ramsey Design judges to be proportional to the amount of work completed on the commission.

12. Ramsey Design expects payment by credit card via Paypal, money order, Paypal, or check within 14 days of the date on the invoice.

Graphic Design

This includes, but is not limited to, compositions containing adult oriented material such as pornography, compositions which promote hatred towards persons belonging to any ethnic group, political, religion or sexual orientation and sites which infringe copyright or are contrary to US laws. Also compositions which push the boundaries of good taste.

2. The acceptance of a commission shall be deemed as a contractual agreement between the client and Ramsey Design. Acknowledgement that the client has read and understands the Terms and Conditions of a Ramsey Design Graphic Design will stand in leiu of a written contract. A verbal agreement must be accompanied by the acknowledgement that our Terms and Conditions has been read and understood, before commission commences. A written contract is available at the clients request.

Ramsey Design reserves the right, and you hereby agree, to assign subcontractors when necessary, to the clients Graphic Design Project to ensure that the terms of this agreement are met as well as on-time completions. This includes templates and stock images that meet with copyright license agreements. All work done by subcontractors is approved by Ramsey Design before presentation to the client.

4. Ramsey Design cannot always guarantee to start work immediately on a commission but will arrange a date with the client as to when work can commence.

5. Ramsey Design and the Client must work together to complete the Graphic Design Project in a timely manner. We agree to work expeditiously to complete the Graphic Design Project no later that 14 days after the client has submitted the necessary materials. If the client does not supply Ramsey Design with complete text and graphics content for this Graphic Design Project within 30 days of the effective date of this agreement, the entire deposit shall be retained by Ramsey Design as damages and the agreement shall become null and void, at Ramsey Design’s option, unless the Graphic Design Project is canceled in writing by the Client prior to the 30 days of the effective date of the agreement.

6. All material, both text and images, supplied by the client and used in the construction of the client’s Graphic Design Project, will remain the client’s property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.

7. The copyright for all material provided by Ramsey Design, such as graphics, photographs and text, will remain the property of Ramsey Design until such time as payment has been made in full whereupon they will become the property of the client.

8. Revisions may be made only by the Ramsey Design at the Preliminary Design phase. Additional fees will be charged for revisions made after 6 preliminary design revisions, and for additions to project scope.

9. The Client agrees to indemnify and hold Ramsey Design harmless against any and all claims, costs, and expenses, including attorney’s fees, due to materials included in the Design at the request of the Client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed pursuant to a permission or release.

10. Ramsey Design will initially place the client’s project on one of Ramsey Design’s demonstration servers during in order that the client may view and comment upon the project’s progress. When both Ramsey Design and the client agree that the project meets the criteria agreed during the commissioning process, Ramsey Design will invoice the client for the full amount due for the commission. On receipt of payment, Ramsey Design will email the design to client, or provide the design via a download for the client to obtain.

11. If at any point during the Graphic Design Project a client wishes to cancel, they may do so but will be invoiced an amount that Ramsey Design judges to be proportional to the amount of work completed on the commission.

Video Editing and Video Design

This includes, but is not limited to, Video or photography containing adult oriented material and or pornography, video compositions which promote hatred towards persons belonging to any ethnic group, political, religion or sexual orientation and sites which infringe copyright or are contrary to US laws. Also video compositions which push the boundaries of good taste.

2. The acceptance of a commission shall be deemed as a contractual agreement between the client and Ramsey Design. Acknowledgement that the client has read and understands the Terms and Conditions of a Ramsey Design Video Design will stand in leiu of a written contract. A verbal agreement must be accompanied by the acknowledgement that our Terms and Conditions has been read and understood, before commission commences. A written contract is available at the clients request.
